Terms of Service

1. Parties and acceptance
These Terms of Service ("Terms") form a binding agreement between you ("Customer") and Cueva Control ("Cueva Control", "we", "us"), a company incorporated in the Netherlands (CoC: 99917320) with its registered office at Leeuwenhoekstraat 98, 2652 XL Berkel en Rodenrijs, the Netherlands.
By purchasing a Cueva Control product, creating an account, or using any Cueva Control software or service, you accept these Terms in full. If you do not accept these Terms, do not purchase or use our products.
2. Products and hardware
Cueva Control hardware products are sold subject to the specifications published on our website at the time of order. We reserve the right to make minor specification changes without notice provided they do not materially reduce the functionality of the product.
Risk in the goods passes to you upon delivery. Title passes upon full payment being received.
All hardware products carry a two-year warranty against manufacturing defects from the date of delivery. The warranty does not cover damage caused by misuse, improper installation, physical damage, or modification.
3. Software license
Cueva Desktop and all associated firmware are licensed, not sold. Subject to payment of the applicable license fee, we grant you a non-exclusive, non-transferable, revocable license to install and use the software solely for the purpose of operating your registered Cueva Control devices.
Each device requires one annual license. The first year is included with every hardware purchase. Renewal fees are set out in our current pricing schedule.
You may not reverse-engineer, decompile, modify, resell, or sublicense the software. You may not use the software to develop a competing product.
We may update, modify, or discontinue features of the software at any time. We will provide at least 60 days notice before discontinuing a major feature that is documented in our public API.
4. Horizon services
Access to the Cueva Control Horizon dashboard and remote monitoring services ("Horizon Services") is included with an active software license.
We target 99.5% monthly uptime for Horizon Services, excluding scheduled maintenance. Scheduled maintenance will be announced at least 24 hours in advance wherever possible.
All automations run on-device and continue to operate during Cloud Service outages. Horizon Services are supplementary; you should not design safety-critical systems that depend on their availability.
5. Payment and pricing
All prices are in euros (EUR) and exclusive of VAT unless otherwise stated. VAT is applied at the rate applicable in your country at the time of purchase.
Hardware orders are charged at the time the order is placed. License renewals are charged annually on the anniversary of device registration.
If a renewal payment fails we will notify you and allow a 14-day grace period before suspending Horizon Services. On-device automation continues to function during the grace period.
We reserve the right to change pricing with at least 30 days notice. Changes do not apply to orders already placed.
6. Returns and refunds
Hardware may be returned within 30 days of delivery subject to the conditions set out in our Shipping & Returns policy. Software license fees are non-refundable once a device has been activated.
If a hardware product is faulty on arrival, contact us within 7 days for a free replacement or full refund.
7. Intellectual property
All intellectual property in Cueva Control hardware designs, software, firmware, documentation, and the Cueva Control name and logo remains the exclusive property of Cueva Control
You retain all rights to the automation flows, configurations, and data you create using our platform. We do not claim any ownership over your content.
8. Limitation of liability
To the maximum extent permitted by applicable law, Cueva Control's total liability to you for any claim arising from these Terms or the use of our products shall not exceed the amount you paid to us in the 12 months preceding the claim.
We are not liable for indirect, consequential, incidental, or special damages, including loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
9. Governing law
These Terms are governed by Dutch law. Any disputes arising from these Terms shall be submitted to the exclusive jurisdiction of the competent courts in Rotterdam, the Netherlands.
If you are a consumer resident in the EU, you retain the benefit of any mandatory consumer protection provisions applicable in your country of residence.
10. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email at least 14 days before taking effect. Continued use of our products after the effective date constitutes acceptance of the revised Terms.
